The Board of Directors is charged with the administration of ACHA, acting as an executive instrument, and shall have power to buy, rent or lease, mortgage, sell, or transfer goods and properties in the name of ACHA. In like manner, the board may authorize the President of ACHA or other member of the board to grant and execute all types of contracts.
The Board of Directors will consist of a President, a Vice President, a Secretary, a Treasurer, and five Directors. The Board of Directors shall create and designate different committees, based on the needs and interests of the association. The five Directors shall “chair” the committees designated by the Board of Directors. Under no circumstance shall a member earn, be paid or receive gifts as compensation for service on the Board of Directors.
The Board of Directors is convened monthly by the President or by the Secretary. The President has the power to convene a special meeting of the Board of Directors with 24 hours notice. Board meetings shall be open to all members of ACHA. ACHA members who are not members of the Board of Directors may speak during a public comment period that will occur at the end of the meeting.
The General Membership is the maximum authority of the Association and all members should conform to it. General Membership meetings and social activities are called by the Board as required. The President shall have the power to convene a special meeting of the General Membership with 24 hours notice.
The members of the Board of Directors are elected every 24 months during the last week in November or the first week in December during a secret ballot of the General Membership. All members of ACHA have the right to form their own slate of candidates and given the opportunity to participate and to aspire to any position on the Board of Directors. The Board of Directors shall fill a vacant position after announcing the opening to existing ACHA members who might be interested.
